Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and Gold Everywhere Inc. ("Gold Everywhere," "we," "us," or "our"). They govern your access to and use of the Gold Everywhere platform, including all associated websites, applications, services, APIs, and developer interfaces (the "Platform"). By creating an account, clicking to accept, or otherwise using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Platform. You must be at least 18 years old to operate an account.

1. Who These Terms Cover

These Terms apply to every category of user: Operators (bullion dealers, coin shops, and investment-grade vault operators who run a business on the Platform), their staff and authorized agents, End Customers (people who buy, sell, book, or store through an Operator), and visitors who browse public pages. Where an Operator provisions accounts for its own customers or staff, the Operator is responsible for those users' compliance with these Terms.

2. Definitions

  • Platform: the Gold Everywhere software-as-a-service offering and all of its features, tools, and APIs.
  • Operator: a customer with an account who configures and runs a bullion, coin, or vault business on the Platform.
  • End Customer: a buyer, seller, depositor, or visitor who transacts or interacts with an Operator through the Platform.
  • Content: any text, images, listings, prices, records, files, or other materials submitted to or generated on the Platform.
  • Spot Data: real-time and historical precious-metals price feeds (gold, silver, platinum, palladium) and related market data surfaced through the Platform.
  • Buy-Back: an Operator's purchase of metal from an End Customer, including indicative "sell to us" quotes generated by the Platform.
  • Stored Metal: physical precious metal that an End Customer holds with a vault Operator, recorded in the Platform.
  • KYC/AML: Know Your Customer and Anti-Money-Laundering identity verification and screening workflows.
  • Your Keys: third-party API credentials (spot feeds, payment processors, email, KYC vendors, AI providers) that an Operator connects to the Platform.

3. Account Registration and Security

You agree to provide accurate, current, and complete registration information and to keep it up to date. You are responsible for safeguarding your account credentials, including passwords and any multi-factor authentication (MFA) devices. MFA is required for administrative and cross-account access. You agree to notify us promptly of any unauthorized access. Authentication attempts are logged with IP address, device, and approximate location for security. Accounts are for identified individuals; credential sharing is prohibited. Operators who connect Your Keys are solely responsible for safeguarding those credentials; we store connected credentials encrypted but are not liable for loss arising from an Operator's mismanagement of them.

4. The Platform and Data Isolation

Each Operator's workspace is a logically isolated tenant identified by a unique account identifier. One Operator cannot access another Operator's data except through access roles that you explicitly authorize. You are responsible for managing the roles, permissions, and staff accounts within your workspace and for ensuring that everyone acting under your account complies with these Terms and applicable law.

5. Subscription and Billing

The Platform is offered on a flat monthly subscription of US $499 per active site, billed in advance for each billing cycle. The subscription includes the core Platform features. Managed services, professional services, custom development, and priority support are quoted and billed separately. Many metered services (spot feeds, payment processing, email, SMS, KYC, AI) run on Your Keys, meaning you contract and pay those third parties directly and Gold Everywhere adds no per-use charge for them. Where you use a Platform-provided service instead of Your Keys, the applicable fees are disclosed before use.

Subscription fees are non-refundable except where required by law. We may change pricing on at least 30 days notice by email or Platform notification; continued use after the effective date constitutes acceptance. If a charge fails, your site enters a past-due state: we will notify you, display warnings, and after 30 days of non-payment we may suspend the site. You can restore a suspended site by settling the outstanding balance. Suspension does not delete your data during the retention period described in Section 28.

6. Software Only; Not a Dealer, Custodian, or Financial Institution

Gold Everywhere provides software. We are not a precious-metals dealer, broker, custodian, depository, bailee, vault, money transmitter, money services business, investment adviser, or financial institution. We do not buy, sell, hold, store, ship, insure, or take title to any precious metal, and we do not hold, transmit, or take custody of any customer funds. All transactions, storage arrangements, and custody relationships are solely between the Operator and its End Customers. We are not a party to those transactions and have no responsibility for their performance, settlement, fulfillment, or outcome.

7. No Investment, Financial, or Tax Advice

Nothing on the Platform is investment, financial, legal, or tax advice. Precious metals are speculative, their prices fluctuate, and they are not a regulated security or deposit product. Neither Gold Everywhere nor, through the software, an Operator makes any representation that any metal will retain value or can be resold at any particular price or at all. End Customers should consult their own professional advisers before transacting.

8. Spot Prices and Market Data

Spot Data is sourced from third-party feeds and is provided for general information only. We do not warrant that Spot Data is accurate, complete, current, or uninterrupted, and displayed prices may lag the live market. Spot Data shown on the Platform is not an offer, a binding quote, or a guarantee of any transaction price. Operators are responsible for the prices, spreads, premiums, and quotes they publish using the Platform. We are not liable for losses arising from reliance on Spot Data or from feed errors, delays, or outages.

9. Orders, E-Commerce, and Buy-Backs

Operators who use catalog, cart, checkout, order, and Buy-Back features are solely responsible for their listings, pricing, premiums, availability, fulfillment, shipping, returns, tax collection, and customer service. The Platform provides tooling only.

9.1 Price Lock and Market-Loss

Because metal prices move continuously, an Operator may configure the Platform so that a price locks when an order or Buy-Back is confirmed, with market risk transferring at that moment. Operators may also configure a market-loss fee that a customer owes if the customer cancels or defaults after the price is locked, reflecting the Operator's hedging exposure. These rules are set by the Operator; Gold Everywhere does not set, collect, or guarantee them.

9.2 Buy-Back Quotes

Buy-Back quotes generated through the Platform are indicative and time-limited. The Operator may inspect received metal and revise or decline a quote if items do not match the customer's description. Gold Everywhere is not a party to any Buy-Back and does not value, authenticate, receive, or pay for metal.

10. Vault Storage and Safety Deposit Boxes

For Operators that offer storage, vaulting, safety deposit boxes, or depositor portals, the custody, bailment, and storage relationship for Stored Metal exists solely between the Operator and its End Customer. Gold Everywhere is the system of record only: it records holdings, statements, box assignments, and bookings based on Operator inputs. We never take possession, control, title, or custody of Stored Metal, and nothing in the Platform creates any lien, ownership, or security interest in our favor over any Stored Metal.

  • Storage model: The Operator defines whether holdings are allocated/segregated (the depositor holds title to specific or undivided physical metal) or unallocated/pooled (the depositor holds a contractual claim and is an unsecured creditor). The recorded model governs, and the Operator is responsible for its accuracy.
  • Insurance: Any insurance on Stored Metal is procured and maintained by the Operator. Gold Everywhere provides no insurance and makes no representation about coverage.
  • Data accuracy: The Operator is responsible for the accuracy of depositor records, holdings, audits, and statements entered into the Platform.

11. Identity Verification and Regulatory Compliance

The Platform offers KYC/AML tooling, including optional identity-document capture, verification, and sanctions screening, which Operators may enable. The Operator, not Gold Everywhere, is the regulated party and is solely responsible for compliance with all laws applicable to its business, including but not limited to:

  • The Bank Secrecy Act and FinCEN rules for dealers in precious metals (31 CFR Part 1027), including maintaining a written AML program where required, customer due diligence, suspicious-activity monitoring, and reporting.
  • OFAC sanctions screening against the SDN and consolidated lists, on a strict-liability basis, at onboarding and on an ongoing basis.
  • IRS information reporting, including Form 1099-B on reportable Buy-Backs and Form 8300 on large cash transactions.
  • State and local precious-metal and secondhand-dealer licensing, mandatory hold periods, transaction reporting to law enforcement, and record retention.

The Platform provides tools to assist with these obligations but does not perform them for you and does not guarantee compliance. Verification and screening results are advisory; the Operator makes all onboarding, approval, and restriction decisions. Gold Everywhere is not a money services business and does not file regulatory reports on your behalf unless separately agreed in writing.

12. AI Features and MCP Connections

The Platform may offer AI-assisted features and a Model Context Protocol (MCP) server that lets you connect compatible AI tools to your workspace using your own provider keys. AI output may contain errors, omissions, or biases and is not guaranteed to be accurate, unique, or non-infringing. You are responsible for reviewing and approving AI output before relying on or publishing it. When you connect a third-party AI tool via MCP, that tool acts under your account permissions and its data practices are governed by its own terms; you are responsible for the tools you connect and the actions they take. Do not submit sensitive personal information in AI prompts.

13. User Content and Conduct

You retain ownership of your Content. You grant Gold Everywhere a worldwide, non-exclusive, royalty-free license to host, store, process, display, and transmit your Content solely to operate and provide the Platform. This license ends when you delete the Content or your account, subject to reasonable backup periods. You represent that you have the rights to all Content you submit. You agree not to upload or transmit Content, or engage in conduct, that: contains malware; is unlawful, fraudulent, defamatory, or infringing; constitutes spam or unsolicited bulk messaging; attempts to access other tenants' data or bypass security or rate limits; manipulates reviews; or degrades the service for others. Uploaded files may be scanned for malware and quarantined or removed if flagged.

14. Third-Party Services and Integrations

The Platform integrates with independent third parties, each governed by its own terms and privacy policy and provided on an "as is" basis. Where you connect Your Keys, your relationship and billing are directly with that provider. Current integrations include:

  • Spot and market data: Metals-API (metals-api.com).
  • Payments: Stripe, Square, PayPal, and Wise.
  • Email and SMS: Postmark, Mailgun, and VoIP.ms.
  • Identity verification (KYC/KYB/AML): iDenfy.
  • AI providers: Anthropic (Claude), OpenAI, and Google (Gemini).
  • Images: Shutterstock and Recraft.
  • Authentication: Google, Microsoft, Meta, and GitHub for optional social login.
  • Infrastructure and storage: Cloudflare and Vultr.
  • Fulfillment: dropship and fulfillment partners you enable.

A given integration applies only where the related feature is enabled. Gold Everywhere is not responsible for third-party outages, changes, pricing, data practices, or service quality.

15. Platform Neutrality

The Platform provides tools and infrastructure. Providing them is not an endorsement of any Operator, product, listing, price, or transaction. Gold Everywhere is not a party to and does not verify, guarantee, or mediate transactions between Operators and their End Customers, including sales, Buy-Backs, storage, bookings, refunds, chargebacks, or disputes. No agency, partnership, joint venture, or fiduciary relationship is created between Gold Everywhere and any user. We may remove Content or suspend sites that violate these Terms but have no obligation to monitor Content.

16. Vault Visits, Appointments, and Bookings

Operators that use booking features are responsible for availability, capacity, scheduling, cancellation and no-show policies, and customer communications. Gold Everywhere does not guarantee the accuracy of displayed availability and is not responsible for scheduling conflicts, overbooking, or pre-authorization holds, which are processed through the Operator's configured payment provider.

17. Email, SMS, and Marketing Communications

Operators that use email, SMS, or newsletter features are solely responsible for compliance with applicable communications and anti-spam laws, including CAN-SPAM and the TCPA in the United States. You may only message recipients who have given valid, documented consent, you must honor unsubscribe and opt-out requests promptly, and you may not use purchased or harvested lists, deceptive headers, or spoofed sender addresses. Violations may result in immediate suspension of messaging features.

18. Reviews and User-Generated Content

Where review features are enabled, reviews must reflect genuine experience. Fabricated reviews, undisclosed incentivized reviews, reviews for products not used, and rating manipulation are prohibited. Operators may configure moderation but may not selectively remove honest negative reviews to create a misleading impression. Gold Everywhere may remove reviews that violate these Terms and does not guarantee the accuracy of any review.

19. API, MCP, and Rate Limits

The Platform provides REST API, WebSocket, and MCP access subject to authentication and the same authorization rules as the web interface. Rate limits apply and may change; when exceeded, the Platform returns an HTTP 429 response and you must back off appropriately. You may not use the API or MCP for scraping, denial-of-service, circumventing security, accessing other tenants' data, or any purpose that violates these Terms.

20. Acceptable Use and Resource Limits

The Platform is for reasonable business use. We do not publish hard storage or bandwidth caps but may throttle or suspend sites that consume disproportionate resources in a way that degrades service for others. The following are prohibited: using the Platform as a proxy, VPN, or relay; cryptocurrency mining; operating phishing or malware-distribution sites; and hosting content that is unlawful in Canada or in the jurisdiction where the End Customer is located. We will make reasonable efforts to contact you before acting on excessive usage, except in cases of security threats or severe impact to others.

21. Intellectual Property

The Platform, including its software, designs, interfaces, trademarks, and branding, is the exclusive property of Gold Everywhere Inc. and is protected by intellectual-property laws. These Terms grant you no right in our intellectual property. You retain ownership of your Content, and AI output created at your direction belongs to you subject to the underlying AI providers' terms. You may not reverse engineer, decompile, or create derivative works of the Platform. Content you contribute to shared template, style, or image libraries may be made available to other users on the Platform under a non-exclusive, royalty-free license.

22. Privacy and Data Processing

Your use of the Platform is governed by our Privacy Policy at /privacy/. When an Operator collects personal data from its End Customers through the Platform, the Operator is the data controller and Gold Everywhere acts as a data processor on the Operator's documented instructions. Operators are responsible for maintaining their own privacy notices, establishing a lawful basis for processing, obtaining required consents, and honoring End Customer privacy requests. A Data Processing Agreement is available on request.

23. Beta Features

Features labeled beta, preview, or experimental may be incomplete, may change or be withdrawn at any time, and carry no warranty, service-level commitment, or support guarantee. Data created with beta features may not be preserved. Use of beta features is at your own risk.

24. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Without limiting the foregoing, we do not warrant that the Platform will be uninterrupted or error-free, that spot prices or market data will be accurate or timely, that emails or messages will be delivered, that third-party integrations will function, that identity-verification or screening results will be accurate or sufficient for any compliance purpose, or that data will not be lost. No uptime service-level agreement is provided. You are responsible for verifying critical information.

25. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF GOLD EVERYWHERE INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE SUBSCRIPTION FEES YOU PAID TO US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST OR CORRUPTED DATA, BUSINESS INTERRUPTION, LOSSES FROM SPOT-PRICE OR MARKET-DATA ERRORS, LOSSES RELATED TO STORED METAL OR ITS CUSTODY, DECISIONS MADE FROM IDENTITY-VERIFICATION RESULTS, OR DISPUTES BETWEEN OPERATORS AND THEIR END CUSTOMERS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

26. Indemnification

You agree to indemnify, defend, and hold harmless Gold Everywhere Inc., its directors, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: your Content; your business, products, listings, pricing, fulfillment, storage, or custody; disputes with your End Customers; your violation of these Terms or of any law, including precious-metals, AML/BSA, OFAC, securities, tax, consumer-protection, biometric, and privacy laws; and your use of third-party services and connected keys.

27. Dispute Resolution and Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles. Before starting formal proceedings, you agree to attempt to resolve any dispute informally by contacting us and allowing at least 30 days. If unresolved, any dispute arising out of or relating to these Terms or the Platform shall be settled by binding arbitration seated in Ontario, Canada, under applicable arbitration rules, and the arbitrator's decision shall be final. You and Gold Everywhere agree that disputes will be brought only on an individual basis and waive any right to participate in a class, consolidated, or representative action. Either party may still seek injunctive relief to protect intellectual property or bring a qualifying claim in small claims court. Billing disputes must be raised within 30 days of the charge.

28. Termination and Data Retention

You may cancel at any time through your account settings. We may suspend or terminate your account or any site, with or without notice, for material breach of these Terms, fraud, abuse of Platform resources, or unlawful activity. After termination, we retain your data for 90 days to allow recovery or export, after which it is permanently deleted. Billing records may be retained for up to 7 years as required by law. Identity-verification and AML records are retained for the period required by applicable regulation.

29. Data Export

You may request a full export of your site data at any time, including service records, uploaded files, and configurations (excluding encrypted third-party keys). Exports are provided in JSON and original file formats and are processed within 30 days. You may request an export during the post-termination retention period.

30. Changes to These Terms

We may modify these Terms. We will provide at least 30 days notice of material changes by email, Platform notification, or by posting the revised Terms with a new effective date. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Platform and close your account.

31. General Provisions

If any provision is found unenforceable, it will be limited or removed to the minimum extent necessary and the rest remains in effect. These Terms and the Privacy Policy are the entire agreement between you and Gold Everywhere regarding the Platform and supersede prior agreements. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for failure or delay caused by events beyond our reasonable control, including natural disasters, government action, war, pandemic, power or internet outages, and third-party service failures. We may disclose data as required by law, court order, subpoena, or valid legal process, and where permitted will make reasonable efforts to notify you first.
